Vendor Terms and Conditions outline the rules for businesses ("Vendors") using your WhatsApp Business API services as a reseller or intermediary provider.
## Vendor Agreement Overview
These Terms bind Vendors to your service policies, WhatsApp/Meta compliance, and no-resale restrictions. Vendors must maintain verified business status and accept WhatsApp Business Solution Terms directly.
## Eligibility Requirements
- Vendors need Meta-approved WhatsApp Business Accounts (WABA) with verified details.
- No sub-reselling API access to end-clients without your explicit written approval.
- Provide accurate business info (name, address, WABA ID) for onboarding.
## Vendor Responsibilities
- Comply with WhatsApp policies: opt-in only, pre-approved templates, no spam.
- Honor 24-hour messaging windows; business-initiated convos require tier/payment setup.
- You (service provider) monitor for violations; Vendors indemnify you against claims.
## Prohibited Activities
- Reselling raw API or allowing third-party integrations.
- Using WhatsApp trademarks without permission.
- Messaging regulated goods (e.g., tobacco, gambling) or misleading content.
## Termination Rights
Suspend/terminate Vendors for policy violations with 7-day notice. Vendors terminate with 30 days. Post-termination: cease API use, delete data.
